MADRID, May 26, 2026 /PRNewswire/ -- IBM (NYSE: IBM) has announced a new five-year global agreement with Abertis, a leading infrastructure and mobility management group, to modernize Abertis's technological infrastructure. The collaboration includes migrating to SAP S/4HANA, and aims to improve system scalability, reliability and user experience across multiple countries. This new agreement extends more than a decade of collaboration and supports Abertis's digital transformation.

Abertis is one of the world's leading motorway operators, with a presence in Europe, the Americas and Asia. The agreement covers the comprehensive evolution of the systems supporting the group's operations, ranging from user management to high-volume transaction processing and incident management. These systems require high levels of reliability, security and performance, regardless of the operational scale or complexity of each environment.

Where mobility becomes a system
With increased pressure on infrastructure and traffic, diverse operating models, and more demanding users, having common, scalable and reliable systems is a key enabler for multi-country operators.
The five-year agreement addresses a common technological framework for Abertis operations in Spain, France, the United Kingdom, Chile and Puerto Rico, with options to extend to additional markets primarily in Europe and America. This international approach is based on a shared technological architecture, adaptable to different regulations and reinforces the efficiency and scalability of the business.
Governance and delivery
IBM Consulting will provide consulting, implementation and technology management services, and will work with Abertis's IT and business teams under a joint governance model that includes defined success metrics, quality gates and change‑management activities designed to minimize business disruption.

At the same time, the robustness of the systems contributes to efficient traffic and toll collection management. Die Semperit AG Holding hat ihre mit Spannung erwartete Stellungnahme zum freiwilligen Übernahmeangebot der B&C Holding Österreich GmbH vorgelegt – ohne eine klare Empfehlung für oder gegen die Annahme auszusprechen. In der am 4. Mai 2026 veröffentlichten Äußerung arbeitet der Vorstand die aus seiner Sicht wesentlichen Argumente beider Seiten heraus und beschreibt das Papier ausdrücklich als Orientierungshilfe für die Aktionärinnen und Aktionäre. Der Aufsichtsrat schließt sich der Analyse an und verzichtet ebenfalls auf eine eigene Annahme- oder Ablehnungsempfehlung.
Kern der Offerte ist ein Angebotspreis von 15,00 Euro je Aktie. Damit verbindet sich laut Semperit eine Prämie von 25,2% auf den unbeeinflussten Schlusskurs vom 17. März 2026, also den Kurs vor Bekanntgabe des Angebots. Der Vorstand verweist zudem darauf, dass der angebotene Preis über den historischen Durchschnittskursen der Semperit-Aktie liegt und Investoren einen Ausstieg ermöglicht, der nicht von der jeweils gegebenen Marktliquidität abhängt – ein Argument vor allem für Anteilseigner mit kurzfristigem Liquiditätsbedarf oder begrenztem Anlagehorizont.
Dem stellt das Management deutliche Vorbehalte gegenüber. So liegt der Angebotspreis nach der veröffentlichten Stellungnahme unter dem Buchwert von 20,20 Euro je Aktie. Außerdem verweisen Vorstand und Aufsichtsrat auf aktuelle Analystenschätzungen von bis zu 22,00 Euro je Aktie. Aus ihrer Sicht bildet die Offerte damit nicht das volle mittel- bis langfristige Wertsteigerungspotenzial des Unternehmens ab. Wer das Angebot annimmt, verzichtet zugleich auf mögliche zukünftige Ertragschancen, falls sich Geschäft und Marktumfeld günstiger entwickeln sollten.
Ob die Annahme wirtschaftlich sinnvoll ist, hänge daher maßgeblich von der individuellen Situation der Anleger ab, betont Semperit.
